Position Title : Legal Counsel

Work Location : Makati

Work Arrangement : Full Onsite | Monday - Friday

Role Summary :

Responsible for ensuring the organization operates within legal boundaries and maintains full compliance with applicable laws and regulations. This includes managing legal risks, overseeing compliance programs, and providing expert legal advice to senior management.

Key Responsibilities :

Legal & Risk Management (50%)

Advise senior leadership on legal rights, risks, and developments.
Lead risk management initiatives and oversee updates to the enterprise risk platform.
Draft, review, and manage legal agreements and corporate records.
Conduct legal research and support litigation strategy.
Provide guidance on corporate actions and decisions.

Compliance Oversight (50%)

Ensure compliance with all relevant laws, regulations, and directives.

Develop and maintain a company-wide compliance handbook.

Create audit plans and conduct periodic compliance reviews.

Identify areas of risk and recommend corrective measures.

Oversee government licensing and renewal processes.

Qualifications & Expectations :

Minimum of 3 years of experience as a Lawyer, preferably has experience in Maritime Industry

Strong knowledge of legal and regulatory frameworks.

Skilled in risk assessment, legal drafting, and compliance audits.

Excellent communication, analytical, and decision-making skills.

Experience in corporate structures and governance.

Reports to the Legal Head (functional) and COO (administrative); part of senior leadership
