Job Description :
Oversees and directs the daily functions and workflow of the Legal Department.
Provides legal guidance and opinions to the Managing Director and other executives on laws, regulations, and policies relevant to the organization and its associated companies.
Regularly updates the Managing Director and officers on newly enacted laws or regulations that may impact the organization and its affiliates.
Addresses and resolves all legal issues concerning subsidiaries, affiliates, international entities, and other related business units.
Evaluates legal and compliance risks across business activities and ensures adherence to applicable permits and government requirements.
Drafts, reviews, and finalizes contracts, agreements, policies, and other legal documents for the organization and its related businesses.
Manages all legal aspects of property acquisitions, including negotiation, transfer of ownership, and settlement of applicable taxes.
Provides legal assistance to the Human Resources Department on labor standards, employee relations, and administrative hearings.
Handles labor cases filed before labor arbiters, regional offices, and the National Labor Relations Commission (NLRC).
Represents the organization and related entities before courts, quasi-judicial bodies, administrative offices, and government agencies.
Prepares pleadings, legal documents, and case-related filings.
Coordinates with external or retained law firms regarding cases under their management, including matters concerning corporate compliance.
Serves as Corporate Secretary for subsidiaries, affiliates, and other associated companies.
Supervises corporate housekeeping activities, including the preparation and submission of SEC reportorial requirements.
Maintains and updates stock and transfer books, stock certificates, GIS, and other shareholder-related records.
Oversees the setup and registration of new entities within the group, including compliance with SEC, BIR, and local government processes.
Supervises the functions of the Data Privacy Officer’s office.
Safeguards essential corporate records and documentation.
Provides legal assistance and support to project sites as needed.
Performs additional tasks and responsibilities as assigned by the Managing Director.
