Overview
General Counsel and Data Privacy Officer
Provide legal advice and support on a wide range of issues, including securities laws, insurance regulations, corporate governance, contract law and other matters that may be encountered in the course of the firm’s business operations.
Draft, review and negotiate contracts and agreements, and other legal documents covering existing and / or intended business engagements of UFSI to ensure the firm’s interest are protected.
Render legal advice or opinion on the interpretation of regulations or changes in regulations relevant to the existing and / or intended communications, business, operations, and / or other initiatives of UFS.
Support the firm’s product and operations teams by providing legal guidance on new products, services, procedures manuals and marketing materials.
Monitor legal cases filed for or against UFSI
Manage engagements with external legal counsel as necessary to provide specialized legal expertise or manage complex legal matters.
Assist in the development and implementation of corporate governance policies and procedures, ensuring alignment with best practices and legal requirements.
Data Protection
- Report data privacy offenses and requirements to the National Privacy Commission (NPC), senior management, board of directors and its committees.
- Implement data privacy policies and procedures cascaded by the parent bank’s DPO and / or together with Information Security, Legal and Human Resources teams.
- Build, implement and manage privacy programs within the organization.
- Ensure continuous alignment to applicable laws and regulations to support the development of an organizational privacy framework.
- Monitor changes in data protection laws and update company policies and practices accordingly.
- Lead investigations and responses to data breaches, ensuring timely reporting to regulatory authorities and affected individuals, when applicable.
- Review Privacy Risk Assessments for new processes, project and systems as well as Data Sharing Agreements involving the business
Qualifications
Minimum of 3 years of experience in a legal and data privacy role, preferably in the financial services industry or a law firm specializing in securities law or financial services.Strong knowledge of securities laws, financial regulations, and corporate governance.Excellent legal research, analytical, and problem-solving skills.Strong communication and interpersonal skills, with the ability to work effectively with internal and external stakeholders.High ethical standards and a commitment to maintaining the integrity of the firm's legal practices.With experience in design and / or review of Data Privacy processes and policies in different industries, with regard to legal complianceWith strong knowledge in Philippine Laws, particularly Data Privacy Law and Cybercrime Prevention LawProficient in MS Office - Word, PPT, ExcelJob details
