Work Location : Eastwood City, Libis, Quezon City

Qualifications

  • Juris Doctor (JD) degree or equivalent, admission to the Bar is required
  • Minimum Of 10 Years Of Progressive Legal Experience
  • Experience in corporate, commercial, or regulatory law, ideally within the financial services or technology industry

Job Summary

The Legal Counsel will lead the legal department, providing strategic legal counsel to the organization and ensuring compliance with applicable laws and regulations. This role involves managing legal risks, advising on corporate governance, negotiating contracts, and overseeing litigation matters. The Legal Counsel will collaborate with senior leadership to align legal strategies with business objectives and safeguard the company's interests.

Key Responsibilities

Strategic Legal Leadership

  • Develop and implement legal strategies to support business goals while minimizing risk.
  • Advise senior leadership on corporate governance, compliance, and regulatory matters.
  • Monitor and interpret new laws, regulations, and industry developments, ensuring the company remains compliant.
  • Risk Management

  • Identify, assess, and manage legal risks across the organization.
  • Develop policies and procedures to mitigate risks and enhance internal controls.
  • Oversee the company’s compliance framework and ensure adherence to applicable laws and regulations.
  • Corporate Governance

  • Ensure the company’s compliance with corporate governance standards and best practices.
  • Provide counsel on board matters, shareholder agreements, and related corporate issues.
  • Contract Management

  • Review, draft, and negotiate contracts, agreements, and legal documents to protect the company’s interests.
  • Oversee the maintenance of a centralized contract repository for efficient management and tracking.
  • Litigation and Dispute Resolution

  • Manage and oversee litigation, arbitration, and other dispute resolution matters.
  • Coordinate with external counsel when necessary, ensuring cost-effective and efficient management of cases.
  • Leadership and Team Management

  • Lead, mentor, and manage the legal team, fostering a culture of excellence and collaboration.
  • Allocate resources effectively to address priorities and ensure team success.
  • Stakeholder Engagement

  • Collaborate with external regulatory bodies, law firms, and key stakeholders to address legal and compliance matters.
  • Serve as the primary point of contact for legal and compliance-related inquiries.
