Role :
The Compliance Director will be responsible for overseeing compliance initiatives, managing strategic legal projects, and ensuring regulatory adherence across company Groups various business units and shall perform the following key duties :
1. Compliance Monitoring and Risk Management
- Oversee and monitor the legal compliance of the Groups various business units, ensuring adherence to applicable laws and regulations.
- Monitor and interpret regulatory developments impacting the Groups operations and activities.
- Lead and execute legal projects related to risk management, and regulatory compliance.
- Support internal audits and investigations.
- Identify potential compliance risks and recommend corrective actions to mitigate legal and financial exposure.
- Collaborate with internal stakeholders, including finance, strategy, and risk teams, to align legal and business objectives.
2. Stakeholder Management
As needed, serve as the Company's representative in building and maintaining relationships with regulatory agencies, industry associations and other relevant groups and institutionsEngage effectively with internal and external stakeholders (e.g. employees, customers, partners) to communicate the Groups compliance efforts and gather feedback as needed3. Reporting and Communication
As required, prepare regulatory and compliance reports and disclosures for internal and external stakeholdersCommunicate progress and performance in compliance to Top Management and the Board of Directors4. Contract Drafting & Review
Draft, review, and negotiate contracts related to investments, partnerships, and other business transactions.Ensure contractual terms align with the organization's legal, financial, and strategic objectives.Identify and mitigate risks in agreements while safeguarding the company's interests.5. Special Projects & Strategic Initiatives
Perform other related duties as assigned to support the legal and business functions of the organization.Qualifications & Requirements :
Must be admitted to the Philippine Bar, with solid experience in corporate, regulatory, or compliance practice. Preferably a Certified Public Accountant (CPA) with a strong understanding of financial reporting, audit principles, and regulatory compliance.At least 7-10 years of experience in legal, audit, or compliance roles, preferably within diversified business groups or regulated industries.Demonstrated expertise in corporate compliance, governance, and regulatory affairs, including policy formulation, internal control assessment, and risk management.Strong background in contract review, regulatory filings, and statutory compliance with government agencies.Proven ability to develop and implement compliance frameworks aligned with corporate governance standards, ethical practices, and applicable lawsFamiliarity with enterprise risk management, data privacy, and anti-money laundering regulations is an advantage.Strong communication and stakeholder management skills, capable of advisingmanagement and Board-level committees.
