What this role means for you
As our In‑House Counsel, you’ll be a strategic adviser, risk mitigator, contract negotiator, and internal legal champion who partners with leadership to enable growth and guard against legal risk.
Key Responsibilities
- Provide pragmatic, business‑oriented legal advice to the executive team and functional leads (product, operations, partnerships, HR, marketing, etc.).
- Serve as the go‑to legal point for new business ideas, pilot projects, partnerships, and growth initiatives.
- Identify legal risks early, propose mitigation strategies, and help the business move forward confidently.
- Design and roll out internal policies (e.g. data privacy, information security, code of ethics, whistleblower policies).
- Draft, review, negotiate, and manage commercial contracts (vendor agreements, SaaS / subscriptions, partnerships, NDAs, master service agreements, MOUs, licensing, etc.).
- Maintain a contract playbook and modular templates to streamline review and execution.
- Oversee disputes, litigation, claims, and enforcement matters, including managing external counsel.
- Conduct legal research, manage legal due diligence, and support internal investigations if necessary.
- Assess and advise on insurance, indemnities, liability, intellectual property, and regulatory risk exposures.
- Build legal operations capabilities : internal matter intake, workflows, legal metrics, document management, contract repository.
- Train and advise internal teams on legal best practices (e.g. marketing compliance, employee conduct, data handling).
- Continuously refine processes to scale with the company.
Profile Wishlist
Licensed Attorney in the Philippines, in good standing with the Bar.Minimum five years of post‑qualification legal experience (law firm and / or in‑house), preferably with exposure to tech, healthcare, or startups.Solid experience drafting, reviewing, and negotiating commercial contracts; familiarity with SaaS agreements, vendor contracts, partnership agreements, etc.Working knowledge of relevant PH laws (data privacy, healthcare regulation, consumer law, employment, company law).High commercial acumen; you can translate legal risk into business opportunity.Excellent communicator; able to distill complex legal concepts into clear, actionable advice for non‑legal stakeholders.Proven integrity, sound judgment, and a reputation for being a trusted adviser.How to Apply
