Responsibilities
- Leadernance of the legal entity's statutory obligationspliance, and administer the Manila Statutorypliance Council
- Review, interpret andmunicate current and new proposed statutory rules, laws and regulations, in line with corporate standards
- Provide guidance and advice to management and partners on local statutory, legal, relevant legislations and regulatory matters impacting NOSAI
- Develop strategies and lead project leads related to corporateernance,pliance, and support the LE Administration within the LEernance andpliance function across the enterprise
- Organize and prepare materials for board and stockholders' meetings, including scheduling, documentation, and meeting coordination. Serves as assistant corporate secretary or may also act as the corporate secretary.
- Coordinate information flow with directors and executive officers, including presentation to the board, executive leadership and other forums
- Ensure that required board of directors and boardmittee meetings of the corporation and the bank are properly called, held, and recorded by the corporate secretary.
- Overseepliance programs covering significant rules, statutes, and regulations
- May be required to act as a consultant to the legal entity regarding procedures and regulations relating to the administration of the corporation's stock plans; work as a liaison with the transfer agent as it relates to the corporation's stock plans and dividend activity and plan new director orientation in accordance with regulatory and corporateernance requirements.
- Administers certain programs to ensurepliance with certain significant rules, statutes and regulations. Acts as a consultant on those rules and regulations with directors and executive officers. Prepares required reports.
- Coordinates the production of any records that are required in connection with litigation or audit involving NOSAI
- Certify corporate documents, as needed
- From time to time, responsible for special or strategic projects related to legal, statutory and regulatorypliance, Legal Entity Administration within the LEernance andpliance
- Carries out relativelyplex, extensive, high-profile activities direct interaction with senior management across the enterprise
- Review of corporate correspondences, legal documentation in collaboration with legal group, statutory or regulatory reporting, and sign-off needed
- Acts as the vendor or outsourcing manager on legal engagements of NOSAI
- Represent the entity in industry,ernment forums, and engagements involving statutory obligations and legislations impacting thepany
- Review the work of others particularly documents related to corporateernance, audit, legal, statutory and regulatory requirements
- Act as the outsourcing manager for interpany services, and vendor manager on legal services of the local entity engagement with external counsel
Knowledge and Skills
Strong understanding of legal terminology, statutory and regulatory frameworks, corporateernance, board meeting proceedings, and corporate secretary function, stock issuances process, as applicable.
Knowledge of the country's relevant statutory rules and regulations, experience in risk andplianceProject management skills.Excellent oral and writtenmunicationStrong stakeholder management.Ability to liaise with statutory / regulatory bodies, local industry associations, and apply best practices, integrate with other functions, and explainplex information to build consensus.Experience :
Minimum five years of experience as a legal intern, paralegal, legal and / or corporateernance officer, statutorypliance, risk andpliance rolesExperience within financial services, liaising ability with statutory or regulatory bodies.Working with Us :
