Safeguard interests of the Company’s key stakeholders by managing legal risks, ensuring the Company operates in the highest standards of Corporate Governance, Litigation Management and Corporate Documents Preparation
KEY ACCOUNTABILITIES :
Litigation Management
- Responsible for management of the Company’s litigation portfolio, which include civil, criminal, labor, and administrative cases.
- Analyzes litigation cases handled by external counsel at key stages to guide management on the proper course / s of action to take.
- Responsible for all requirements and requests of external counsel.
- Ensures that the Company and / or its officials are represented in various legal proceedings.
- Attends to intellectual property, labor and employment, and other requirements of the Company.
Contracts and Opinions
Responsible for drafting / review of commercial contracts and corporate legal documents, including the negotiation and approval thereof in connection with identifying and reducing business risks.Conducts legal due diligence in connection with the Company's business transactions.Ensures that legal research and opinions on all fields of law that affect the Company's business are of highest standards.Responsible for timely preparation, filing and processing of all types of corporate documents; liaises with the IC, SEC, and similar regulatory bodies.Ensures that board resolutions / requests are attended to, up to date and properly maintained.Attends board meetings and prepares minutes of meeting.Assists business units in their Corporate Secretarial needs.Provides legal guidance and strategic assessment on various corporate and commercial projects and policies, manuals and reports.EXPERIENCE AND QUALIFICATIONS :
Law Degree and member of good standing of the Philippine BarPreferably with minimum 5 years experience in life and / or general insurance industry or other relevant experienceStrong background in legal and regulatory environment, relevant legislation and regulatory requirementsAbility to work well with people of all levels within the organizationHigh degree of professionalism and good business etiquetteDetail-orientedProficient in MS Office ApplicationsExcellent Communication skills (oral and written)Analytical SkillsPeople Skills#J-18808-Ljbffr
