Job Description :
A US client is preparing to go public through a de-SPAC transaction and is seeking experienced SEC Reporting Consultants to support the preparation and filing of Form S-4. This engagement requires professionals with deep knowledge of SEC disclosure requirements and hands-on experience preparing registration statements for business combinations involving SPACs.
The ideal candidate will work closely with the COO, internal finance team, and external advisors to ensure timely submission of the S-4 before the targeted filing date for SEC review.
Key Responsibilities
Lead and support the drafting, review, and assembly of Form S-4 filing and related SEC documentation
Collaborate with cross-functional teams (Legal, Finance, External Auditors, Advisors) to collect necessary financial and operational inputs
Ensure full compliance with SEC regulations, disclosure standards, and de-SPAC reporting requirements
Assist in responding to SEC comment letters and making revisions to filings
Provide technical accounting and regulatory guidance as needed
Manage timeline and deliverables to meet the target pre-Christmas filing deadline
Qualifications
Minimum 3-5 years of relevant SEC reporting and public company experience
Strong background in S-4 filings, de-SPAC transactions, or business combinations
CPA preferred; Big Four or top-tier advisory experience a plus
Excellent technical accounting, financial reporting, and project management skills
Ability to work under tight deadlines in a fast-paced transaction environment
