Job Description :

We are seeking a highly organized and detail-oriented Paralegal with experience in Initial Public Offering (IPO) processes to support our legal and corporate compliance teams.

The ideal candidate will assist in preparing the documentation, filings, and regulatory compliance requirements involved in taking a company public in the Philippines, including dealings with the Securities and Exchange Commission (SEC) and the Philippine Stock Exchange (PSE).

Key Responsibilities :

  • Assist in the preparation and review of IPO-related documents including the Prospectus, Registration Statement, and legal due diligence reports.
  • Coordinate and liaise with government regulatory agencies such as SEC, PSE, and Bureau of Internal Revenue (BIR) for IPO-related submissions.
  • Manage and organize IPO documentation, timelines, and compliance schedules.
  • Support the legal team in conducting due diligence checks, gathering corporate records, and compiling disclosures.
  • Track and maintain a checklist of regulatory requirements and deadlines during the IPO process.
  • Assist with corporate housekeeping and post-IPO compliance (ex.

continuing disclosures, SEC / PSE filings, shareholder meetings).

  • Provide research support on capital markets regulations and recent issuances from regulatory bodies.
  • Coordinate with underwriters, auditors, external counsels, and internal departments for IPO preparation.
  • Qualifications :

  • Bachelor's degree in Legal Management, Law, Finance, or related field.
  • At least 2–3 years of experience as a paralegal or corporate legal assistant, preferably with IPO exposure.
  • Strong familiarity with SEC, PSE, and IPO requirements in the Philippines.
  • Knowledge of relevant laws and regulations, such as the Securities Regulation Code (SRC), Corporation Code, and PSE listing rules.
  • Excellent written and verbal communication skills.
  • Strong attention to detail, research, and organizational skills.
  • Able to handle sensitive information with confidentiality and discretion.
  • Preferred Qualifications :

  • Experience working in a law firm or in-house legal team involved in public listings.
  • Background in corporate finance or capital markets is a strong plus.
  • Familiarity with drafting legal opinions or compliance reports.
