Overall purpose, duties and responsibilities of the role :
The Legal Counsel plays a critical role in supporting the Management Committee and the Board of Directors by facilitating effective communication, maintaining corporate records, and ensuring that board and management committee decisions are implemented. The incumbent also provides Legal advisory to members of the leadership team for strategic, tactical, and risk management discussions.
Duties and Responsibilities :
1. Board Governance and Support
- Serve as the liaison between the Board of Directors and East West Ageas’ Management Committee (EWA MCO).
- Organize and coordinate all board and board committee meetings, ensuring proper notice and quorum, documentation and distribution of meeting agenda and presentation materials.
- Prepare and maintain accurate minutes of meetings, board resolutions, and committee reports.
- Ensure that Board resolutions and directives are properly documented, implemented, and monitored.
2. Corporate Documentation and Records Management
Maintain and safeguard all corporate records, including Articles of Incorporation, By-Laws, Board resolutions, and share registers.Ensure accuracy and confidentiality of records including minutes of the regular EWA MCO meetings3. Shareholder Relations
Oversee preparation and dissemination of notices, reports, and disclosures to shareholders and regulators.Ensure timely disclosure of material information in compliance with Insurance Commission and SEC requirements.Manage relations with shareholders and ensure proper handling of board meetings and voting procedures.4. Legal Advisory
Provide legal advisel to the Board, EWA MCO, and EWA Business Unit Heads on corporate, insurance, and regulatory matters.Support governance aspects of strategic initiatives such as mergers, product launches, or capital changes.Management of company litigation; provides advice to senior management on issues arising from actual or anticipated law suits; coordinate and manage external counsels in the handling of litigation cases; represents the Company or its officers in various legal proceedings.Act as a back-up to the other Legal Counsel in supporting Business Units on various legal related assignments.Essential Skills / Qualifications :
Member in good standing of the Philippine BarJuris Doctor degreeMinimum of 7 to 10 years of progressive experience in corporate law, governance, and compliance preferably in the life insurance or financial services industry.Solid experience coordinating with regulators such as IC, SEC, AMLC, and BSP.Excellent communication, analytical, and problem solving skillsDemonstrated integrity, confidentiality, and professionalism in handling sensitive information#J-18808-Ljbffr
