Ensure compliance with the Revised Corporation Code of the Philippines, SEC regulations, and applicable laws. Organize Board of Directors, Board Committee, and Shareholders meetings, including preparation of agendas, minutes, resolutions, and secretarys certificates. Maintain and safeguard corporate records, statutory books, and legal documents. Coordinate regulatory filings with government agencies, including SEC, BIR, DOE, ERC, and other relevant authorities. Manage corporate legal documents, contracts, permits, licenses, and compliance schedules. Support legal due diligence for business projects. Review and draft legal documents, including NDAs, MOAs, consultancy agreements, service agreements, Letters of Intent, and official communications. Coordinate with external law firms and monitor legal service engagements.*** *** Qualifications: *** *** Juris Doctor (JD) graduate. Passed the Philippine Bar Examinations. Minimum 3 years of post-qualification experience as Corporate Secretary or Assistant Corporate Secretary in the Philippines. Strong knowledge of corporate governance, contract management, commercial law, and the energy industry. Proficient in English and Filipino.
