Transaction Compliance Framework – Transaction Diligence

Our Transaction Compliance Framework (TCF) services focus on equipping organizations with the tools and strategies needed to ensure compliance during critical transactions. We partner with clients to develop comprehensive compliance protocols that address legal, regulatory, and internal policy requirements throughout the transaction process. By applying our expertise and industry knowledge, we help businesses identify potential compliance risks and implement effective controls. Our customized solutions support organizations in navigating the complexities of transactions while safeguarding their interests and achieving successful results.

Our Transaction Diligence professionals focus on providing comprehensive due diligence services for mergers and acquisitions. This includes in-depth analysis of financial, operational, and strategic aspects of a target company to identify risks, validate financial health, and assess overall viability. The goal is to ensure clients make informed investment decisions, negotiate favorable terms, and achieve successful, value-creating transactions.

As a manager, you will manage financial diligence projects, evaluate business performance and forecast assumptions, and provide actionable insights to clients throughout the transaction process. You will also play a key role in coaching and developing staff and senior team members.

Your key responsibilities

• Lead and manage financial due diligence engagements for M&A and transaction-related projects.
• Analyze financial performance, trends, and key business drivers to identify risks and opportunities.
• Evaluate business forecasts and assumptions and provide actionable insights to stakeholders.
• Prepare and review due diligence reports, presenting key findings and recommendations.
• Collaborate with senior management, clients, and cross-functional teams throughout the transaction process.
• Mentor, coach, and develop junior team members to support their career growth and performance.

Skills and attributes for success

What we look for:

• Bachelor’s degree in accountancy or finance with at least five years of relevant work experience
• CPA license would be advantageous

Ideally, you’ll also:

• Proven experience in audit and/or M&A transactions within a large professional services environment.
• Strong analytical skills with the ability to assess financial and non-financial information and develop practical conclusions.
• Excellent communication, presentation, report-writing, and networking skills, with the ability to build effective client and stakeholder relationships.
