Our client’s global legal team is seeking a Corporate Counsel to support commercial contract review and managing the CLM system. This role involves reviewing, negotiating, and finalizing contracts to ensure compliance, mitigate risks, and uphold the company’s interests. In addition, this role will support the legal team in other departmental projects and legal operations improvements. The role will report to a Senior Corporate Counsel in the US.
Duties and Responsibilities :
Review and negotiate commercial contracts
- Review, analyze, and interpret contract terms, ensuring alignment with company guidelines, industry standards, and regulatory requirements
- Identify potential contract language risks that may require escalation
- Negotiate vendor contracts, NDAs, amendments, schedules, and other legal documents using established templates and guidelines with minimal oversight
- Provide timely and effective communication to all stakeholders regarding contract status, performance, and any potential issues
Maintain the contract repository and manage the day-to-day contract administration
Provide support through all phases of the contract lifecycle, including the signing and filing processMaintain electronic filing structure for contracts so that documents are accessible, accurate, and up to dateSupport efforts to organise, manage, and access legal documents and records
Review, update, and maintain templates, corporate forms, and online terms of serviceIdentify, design, and implement operational processes to increase efficiency and filing consistencyAssist with requests for information from internal stakeholders and external parties, such as auditors, regulators, partners, customers, and vendorsAdvise on Philippines legal matters
Oversee employment law compliance and HR legal matters in the PhilippinesManage business registration and regulatory filings for Philippines operationsDraft and maintain internal policies tailored to the Philippines business unitSupport insurance procurement and compliance in the PhilippinesManage external counsel as neededOther legal department support
Work on other legal department projects as necessary, including assisting with routine corporate governance and licensing filingsMaintain and enhance legal department tools, including intranet sites, templates, and workflow systemsAssist with continuous improvement initiatives across legal operationsRequirements
Qualifications :
Bachelor of Laws (LL.B.) or Juris Doctor (J.D.) degree from an accredited law schoolSenior Paralegal Professionals that have strong contract review experience in an International Technology are welcome to applyLicensed to practice law in the Philippines, good standing with the Integrated Bar of the PhilippinesMinimum of 5–7 years of legal experience, preferably with a mix of law firm and in-house counsel rolesStrong background in reviewing, drafting, and negotiating commercial contracts (vendor, client, NDAs, amendments, schedules)Experience with contract lifecycle management (CLM) systems and legal operations tools preferredKnowledge of employment law, corporate registration, and regulatory compliance in the PhilippinesAbility to manage external counsel and oversee legal matters across multiple practice areasExcellent written and verbal communication skills with strong stakeholder management abilitiesDetail-oriented with the ability to identify legal and contractual risks and propose solutionsComfortable working with global teams and aligning local requirements with international standardsStrong organisational skills with experience in process improvement and document managementJob Type : Permanent
