Senior Legal Manager

We are looking for a highly experienced Senior Manager – Legal to lead and oversee the company's legal functions, ensuring compliance, managing risk, and supporting company's growth through strategic legal guidance.

Key Responsibilities

Mergers & Acquisitions (M&A) :

Manage end-to-end legal processes for mergers and acquisitions.

Conduct corporate due diligence to identify legal, compliance, and operational risks.

Contract Management :

Draft, review, and negotiate contracts (supply, joint ventures, leases, services).

Collaborate with internal and external stakeholders to ensure clear and enforceable agreements.

Corporate Governance :

Advise management and the board on governance best practices and compliance with statutory / regulatory requirements.

Support implementation of governance frameworks, policies, and board resolutions.

Legal Risk Management :

Review contractual documents to identify risks and ensure alignment with organizational objectives.

Provide strategic recommendations and reports to senior management.

Qualifications

Bachelor of Laws (LLB / JD), with Bar membership in the Philippines.

At least 10 years of progressive legal experience , with strong exposure to M&A, contract management, and corporate governance .

Background in energy, utilities, infrastructure, or related industries is an advantage.

Experience with Philippine regulatory bodies (DOE, ERC, DENR) and energy sector compliance requirements preferred.

Strong negotiation, stakeholder management, and problem-solving skills.

Experience negotiating high-value commercial contracts (PHP 100M+ preferred) and complex joint venture agreements.

Excellent communication and leadership abilities.

Experience leading legal teams of 3-5 professionals or managing external legal counsel.

Experience managing M&A transactions valued at PHP 500M+ or cross-border deals.
