Legal Counsel
JOB SUMMARY
As a Legal Counsel at Tier One Entertainment, you will be an integral member of our legal team, responsible for providing comprehensive legal support and strategic advice to various departments within the organization. You will work closely with senior management and other stakeholders to address legal concerns, mitigate risks, and ensure compliance with relevant laws and regulations in the esports and media industries.
DUTIES & RESPONSIBILITIES
- Draft, review, and negotiate a wide range of contracts, including shareholder agreements, employment contracts, sponsorship agreements, partnership agreements, talent contracts, licensing agreements, and content distribution agreements.
- Monitor regulatory developments and industry trends to ensure compliance with relevant laws and regulations, including intellectual property laws, advertising regulations, and data protection laws.
- Manage and protect the company's intellectual property assets, including trademarks, copyrights, and trade secrets. Conduct trademark searches, file trademark applications, and enforce intellectual property rights as needed.
- Ensure that business units are compliant with the reporting and compliance requirements of the SEC, LGU, and other government agencies, such as annual filing of the General Information Sheet and the renewal of business permits.
- Identify and assess legal risks related to business activities, and develop strategies to mitigate exposure while supporting operational goals.
- Handle disputes, legal claims, and litigation matters, including arbitration, administrative cases, and pre-litigation concerns. Coordinate with external counsel when necessary and represent the company’s interests throughout legal proceedings.
- Advise on corporate governance matters, including structuring, corporate formalities, and alignment with governance best practices. Liaise with foreign external firms when necessary.
- Develop and implement company policies and procedures to ensure compliance with legal requirements and industry standards.
- Provide legal training and guidance to internal stakeholders on legal issues relevant to their roles and responsibilities.
- Perform any other legal or related tasks as assigned by the supervisor.
QUALIFICATIONS
Passed the Philippine Bar Examination.Law firm and / or in-house experience are preferred.Excellent negotiation and communication skills, with the ability to effectively communicate complex legal concepts to non-legal stakeholders.Proven ability to work independently and collaboratively in a fast‑paced environment.Seniority level : Entry level | Employment type : Full‑time | Job function : Legal | Industries : Entertainment Providers
