Overview
We are seeking a Legal & Compliance Officer to manage corporate governance, SEC filings, labor compliance, contract lifecycle, government permits, and general compliance reporting. The role requires close cooperation with the Board, HR, and external regulatory bodies.
Responsibilities
- Prepare and file mandatory corporate disclosures with the Securities and Exchange Commission (SEC), including General Information Sheet (GIS), Audited Financial Statements (AFS), and Articles of Incorporation.
- Provide support for Board and Shareholder meetings : prepare notices, agendas, minutes, and ensure proper filing with the SEC.
- Assist in corporate restructuring projects, mergers, or branch registrations as required.
- Monitor the corporate compliance calendar to ensure all SEC, BIR, LGU, and DOLE deadlines are met.
- Prepare and manage documentation for Labor Inspections and Assessments, maintaining organized compliance records and generating reports using Google Sheets.
- Oversee record‑keeping and reporting for 201 files and departmental statistics, collating and endorsing data to HR.
- Monitor changes in corporate and labor laws and update company compliance policies accordingly.
- Oversee and monitor the lifecycle of agreements (Lease, MOA, Consignment, Franchise, Consultancy) and maintain a centralized database of all corporate contracts, tracking expiration dates and renewal timelines.
- Monitor and safeguard all corporate licenses and permits, ensuring timely renewals.
- Manage applications, renewals, and analytics for Data Privacy Officer (DPO) and National Privacy Commission (NPC) registrations.
- Provide monitoring and assistance for IPO and Trademark filings.
- Oversee monitoring of real estate titles, tax declarations, and realty tax payments.
- Ensure compliance with First Aid, Safety, and other mandatory training requirements.
- Lead year‑end compliance reporting and other corporate housekeeping tasks.
- Develop and maintain a corporate compliance dashboard using Google Sheets or an ERP system to track all compliance activities.
Qualifications
Bachelor's degree in Law or Legal Management (a law degree is a strong advantage).3–5 years of proven experience as a Compliance Officer, Paralegal, or in a similar corporate legal role.In‑depth knowledge of the Philippine Corporate Code, Labor Code, SEC regulations, and other relevant legal requirements.Strong experience in managing government filings and corporate secretarial work.Exceptional organizational skills with keen attention to detail.Ability to manage multiple priorities and meet tight deadlines.Excellent written and verbal communication skills.Proficient in using Google Suite (especially Google Sheets) and / or ERP systems for monitoring and reporting.High degree of professionalism and integrity.Seniority Level
